Terms of Service
Effective Date: January 01, 2017
These Terms of Service (“Terms”) constitute a legally binding agreement between Southern Africa Experiences CC, trading as The Conversion Guru (“Company,” “we,” “us,” or “our”), and the client (“Client,” “you,” or “your”). By engaging in our services, you agree to these Terms. Please read them carefully before using our services.
1. General Terms
1.1 These Terms govern your use of the services provided by The Conversion Guru, including but not limited to digital marketing, website hosting, and maintenance services.
1.2 By using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please discontinue the use of our services.
2. Payment Terms
2.1 All invoices are due and payable within 30 days from the invoice date unless otherwise specified in a written agreement or month end, which ever payment terms are stated on the invoice.
2.2 Late payments may incur additional charges and may result in the suspension or termination of services.
2.3 If payment is not received by the due date, we reserve the right to suspend or terminate services as outlined in the “Termination of Services Clause Due to Non-Payment” section.
3. Termination of Services Clause Due to Non-Payment
In accordance with South African contract law and the Consumer Protection Act (CPA) No. 68 of 2008, we reserve the right to terminate or suspend any services provided if payment is not received by the due date. According to Section 14 of the CPA, a service provider may legally cancel an agreement if the client fails to fulfill their payment obligations. This clause applies to all services we provide, including website hosting, website maintenance, or digital marketing services.
4. Non-Liability for Service Termination
If a client fails to make payment on the agreed-upon due date, we reserve the right to suspend or terminate all related services with immediate effect, without prior notice. In such cases, we shall not be held liable for any losses, damages, or disruptions that may result from the termination or suspension of services. By agreeing to these terms, you acknowledge that this right is enforceable under the governing laws of South Africa, including but not limited to the Consumer Protection Act, and that the service provider is not accountable for any consequences arising from the enforcement of this clause.
5. Limitation of Liability
5.1 To the fullest extent permitted by law, The Conversion Guru and its affiliates, officers, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses, resulting from your use of our services.
5.2 We do not guarantee that our services will be uninterrupted, error-free, or completely secure, and we are not liable for any damages or losses arising from such interruptions or errors.
6. Confidentiality
6.1 Both parties agree to treat all information received from each other as confidential and to not disclose such information to third parties without prior written consent, except as required by law.
7. Governing Law
7.1 These Terms shall be governed by and construed in accordance with the laws of South Africa. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.
8. Changes to Terms
8.1 We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting the updated Terms on our website. It is your responsibility to review these Terms periodically.
